Driver Contract and Terms
1. Parties
Between Muscat Investment Center LLC (CR 1299785), operating Ma'ay ("Ma'ay"), and the driver named in her profile ("the driver").
2. Independent contractor
- The driver is an independent contractor. She is not an employee, partner or agent of Ma'ay. This contract creates no employment relationship, and no salary, leave, or end-of-service benefits.
- She decides whether to accept requests, subject to this contract once she accepts a rider.
- She is responsible for her own taxes and social-insurance obligations.
3. Eligibility (kept true throughout the contract)
She confirms and keeps proving that she:
- is a woman and an Omani national, aged 21 or above;
- has held a driving licence for 3 years or more, valid;
- has a valid civil ID (copy uploaded; number and expiry recorded);
- has a police clearance certificate (no criminal record) issued within the last 3 months, and uploads a new one every 3 months (4 a year); her account is blocked from new trips the day after it expires;
- has a vehicle in good condition, with a model year no older than 15 years, registered to the permitted use, with a valid registration (mulkiya) and insurance covering the driver and passengers, with the policy and expiry uploaded;
- uses only the registered vehicle for Ma'ay runs; to replace it she must submit the new vehicle's documents for operations approval first.
Expired licence, certificate, registration or insurance means she cannot receive new trips until renewed. Eligibility rules are admin settings and may change.
4. Vehicle and insurance
She provides her own vehicle at her own cost: fuel, maintenance, licence fees, insurance, cleaning and fines. Ma'ay supplies no vehicle. She must keep insurance valid at all times and tell Ma'ay of any accident, claim, or loss of cover at once. The vehicle class (Economy or Luxury) is set by supervisors after inspection of documents.
5. How the service works
- She registers routes (start area, end area, direction, days, time window) and seats available, and the zones she serves.
- In Pro mode she may be invited, and she replies with a monthly price per rider at or below the cap within the reply window. In Standard mode the system may offer a rider to her at the cap price; she accepts within the window, or the offer passes to another driver.
- A quote above the cap is rejected. Ma'ay may override the cap for one route with a recorded reason.
- Once she is assigned, she must run the trips on the contract's schedule, with the agreed riders, on the agreed route, and must not take cash from riders.
- Her schedule cannot overlap (the system blocks slots without a 15-minute travel buffer).
6. Daily duties
On each run she must start the route in the app so that live location is shared with the riders' account holders; mark each rider Boarded or No-show at pickup and Dropped at drop-off; keep to the agreed route and times; keep the app running with location permission (background location is used during an active run only); and end the run in the app. If connection is lost, events queue and sync later with their original times.
She may record a behaviour note about a rider; notes must be factual and fair. Ma'ay may review and remove notes.
7. Conduct
She must drive safely and within the law; carry only the riders on the contract (no extra passengers, no stops not agreed); treat riders and parents with respect; not be under the influence of alcohol or drugs; not use a phone while driving; not share riders' personal data or photographs; not contact riders outside the service for any other purpose; not take payment outside Ma'ay; and respect the confidentiality of everything she sees about riders. Breach is dealt with under sections 11 and 12.
8. Absence
She must tell supervisors in advance with a valid excuse if she cannot run a trip. A backup driver covers the trip where available. If none is available, the rider receives compensation approved by management. Payout adjustments for backup trips are shown on her statement.
9. Price, commission and payout
- Riders pay Ma'ay in advance. Ma'ay holds the funds only as merchant of record through a licensed payment gateway.
- Commission: Ma'ay keeps 10% of the subscription fee for each contract (an admin setting; a change applies to new contracts only). The quotation fee and admin fee paid by the rider belong to Ma'ay.
- Payout: on the 1st of each month, by bank transfer to her IBAN, net of commission, for amounts already collected from riders. Ma'ay does not pay from money not yet collected.
- She receives a payout statement (PDF) that reconciles to the ledger. She must raise any error within.
- Ma'ay may adjust the payout for backup trips and for withheld days (section 12). Payout batches are approved by two staff before payment.
- She keeps the IBAN current; Ma'ay is not liable for transfers to an IBAN she provided wrongly.
- She must not collect cash or any extra payment from riders.
10. Ratings and review
Riders rate trips from 1 to 5 stars. A rating counts after 5 completed trips (a new driver is shown at 4.5 until then, for at most 60 days). If her average falls below 3.5 over her last 20 trips, supervisors review her.
11. Default and withdrawal
- Default means repeated no-shows or missed trips, a serious breach of conduct or safety, false documents, driving without valid licence or insurance, or abandoning a rider.
- On default, operations may suspend her and withdraw her contracts. The riders are re-matched, and the payout for days she did not work is withheld, as decided by supervisors and recorded.
- Ma'ay may withdraw or end the contract at once for a serious breach, and on notice for other reasons.
- The driver may withdraw from a rider or from the contract by giving in writing through the app, so that the rider can be re-matched. Leaving without notice may lead to withholding of payout for the unworked period and to exclusion from the platform.
- Amounts already earned for trips actually run are paid under section 9 after any lawful set-off.
12. Withheld pay
Payout for unworked days of a withdrawn driver is withheld by supervisor decision, recorded in the system.
13. Her data (Privacy)
How Ma'ay uses her data is in the Privacy Policy. In short: her police clearance certificate is stored internally only, in private encrypted storage, viewed only by operations agents and the super administrator with every view logged, and is meant to be deleted when replaced by the next certificate or 6 months after she leaves. Her driving licence image may be read by Google Gemini to pre-fill details, with her consent, if that feature is used. Her live location is shared during runs only.
14. Intellectual property and brand
The name Ma'ay, its logo and the app belong to Muscat Investment Center LLC. She may use the Ma'ay name only as the app allows. The brand may change pending trademark registration.
15. Liability and insurance
She is responsible for the safe operation of her vehicle and for any loss or damage she causes, subject to her insurance. Ma'ay is not liable for accidents on the road except where the law makes it so.
16. Term, changes and law
- This contract starts when she signs in the app after approval and continues until ended under section 11, or by either side on.
- Ma'ay may change commission, rules or fees on notice; changes apply to new contracts and billing periods, never to a signed rider contract. She may refuse a change by ending the contract under section 11.
- Governing law: Sultanate of Oman.
- Arabic prevails.
